• All Images are copyrighted. Direct IT Corp or its suppliers own all rights to the Images. All rights are reserved by Direct IT Corp unless otherwise granted to you. Your rights to use the Image are subject to this agreement.
• By this Agreement, Direct IT Corp grants you a personal, non-exclusive, non-transferable, right to use and reproduce Images in the following ways:
  1. On web sites and multimedia presentations.
  2. In coordination with opt-in email marketing. Images cannot be used in the body of unsolicited bulk email - or linked from unsolicited bulk email.
  3. All other rights in the Images are expressly reserved by Direct IT Corp for itself and on behalf of the respective copyright holders.
• You may NOT:
  8. Use or display any Image on websites designed to induce sales of "print on demand" products, including postcards, mugs, t-shirts, posters and other items (this includes custom designed websites as well as sites such as Cafe Press (i.e. www.cafepress.com).
  9. Use an Image other than as specified in the preceding section.
  10. Use an Image with pornographic, defamatory, or otherwise unlawful or immoral content or in such a manner that it infringes upon any third party's trademark or intellectual property.
  11. Use or display an image as part of or in connection with the promotion or marketing of any audio-visual work with a viewership of more than 250,000, including, without limitation, any documentary, news show, television program or film, in any media, without the prior written consent of Direct IT Corp.
  12. Use an Image in a way that places a person in the photo in a bad light or depicts them in a way that they may find offensive- this includes pornography, tobacco ads, religious and political endorsements, defamatory, or otherwise unlawful or immoral content.
  13. Resell any Image.
  14. Share an Image by providing access on shared disk drives or network.
  15. Use Direct IT Corp images to compete with Direct IT Corp. This includes, by way of illustration, not by way of limitation, displaying images in any format (including thumbnails) for download on a website. Offering Direct IT Corp Images for sale, or including Direct IT Corp Images in templates for sale. You may not, for example, create an entire greeting card line based on Direct IT Corp images - or use our Images as the basis for a large collection of objects for sale. You may use up to 10 images per month for 'collections of items' including paper greeting cards, display/sale items, magnets, promotional items, etc.
  16. Use the Image in a website template that you plan to sell or transfer to others.
  17. Use any Image as part of a trademark or patent image.
  18. Use any Image as part of a logo.
  19. Produce printed reproductions of any Image on canvas or paper to be sold.
• "Non-transferable" as used herein means that except as provided in this EULA, you may not sell, rent, load, give, sublicense, or otherwise transfer to anyone the Image or the right to use the Image. In addition, the work you produce with the Image must be used for your direct employer, client, or customer, who must be the end user of your work. You agree to take all commercially responsible steps to prevent third parties from duplicating any Image. This may include invisibly watermarking the image and identifying that Direct IT Corp owns the image on the document you intend to use the Image.
• You agree to indemnify and hold Direct IT Corp, Inc., its officers, employees, shareholders, directors and suppliers harmless against any damages or liability or any kind arising from any use of the Image other than the uses expressly permitted by this Agreement.
• Neither Direct IT Corp or any of its directors, officers, employees, partners, licensors, or agents shall be liable for any damages, whether direct, indirect, consequential, or incidental, arising out of the use of, or the inability to use, any Image or Images.
• Direct IT Corp makes no representations or warranties whatsoever as to the legality or validity of any Release associated with an Image.
• Direct IT Corp makes no representations or warranties whatsoever with respect to the use of names, trademarks, logos, uniforms, registered or copyrighted designs or works of art depicted in any Image.
• You must satisfy yourself that all necessary rights, consents or permissions as may be required for Reproduction of any Image have been secured by you.
